In its First Amended Complaint, Soprema alleges breach of contract, unjust enrichment and conversion claims arising from a construction project in Hawaii. Soprema is an Ohio corporation that supplies roofing materials for construction projects. Defendants Beachside Roofing, L.L.C. and Bodell Construction Company are Utah corporations. Both companies are authorized Soprema roofing contractors per their Authorized Roofing Agreements.

Bodell and A-1 began installing Soprema roofing on the Queens’ MarketPlace project in December 2006. After noticing problems with some of the buildings, Soprema commenced a repair process at the request of Queens Market. Soprema alleges that A-1 refused to follow the protocol for repair that was established at a mediation in Hawaii and that A-1 is owed money for testing, supervision and inspection costs. Based on the alleged faulty workmanship, Soprema is also seeking damages for conversion. Defendants argue that these claims are not subject to personal jurisdiction in this Court because the alleged defective work and the parties’ efforts to resolve the matter occurred exclusively in Hawaii. Defendants also assert that the forum selection clause in the Authorized Roofing Agreements precludes this Court’s jurisdiction.3
